These Terms & Conditions ("Terms") govern access to the website and services of Kerrigan Essentials LLC ("the Company"). By engaging with our services, the client agrees to these Terms.

Scope of Services

The Company provides software engineering services including system architecture, custom development, modernization, integration, and ongoing support. The specific scope of any engagement is defined in a written agreement or statement of work.

Client Responsibilities

The client is responsible for providing timely access to required information, systems, personnel, and approvals necessary for the Company to perform its obligations. Delays or limitations attributable to the client may affect timelines and deliverables.

Payment Terms

Fees, payment schedules, and accepted methods are defined in the applicable engagement document. Invoices are due in accordance with the terms specified therein. Overdue amounts may suspend ongoing work.

Intellectual Property

Unless otherwise agreed in writing, deliverables produced specifically for the client become the client's property upon full payment. The Company retains rights to general methodologies, frameworks, and pre-existing materials.

Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, or consequential damages. Aggregate liability under any engagement shall not exceed the fees paid for the services giving rise to the claim.

Governing Law

These Terms are governed by the laws of the United States of America and the Commonwealth of Pennsylvania, without regard to conflict of laws principles. Any disputes shall be resolved in the competent courts of that jurisdiction.
